Facing change with confidence is the name of the game in a rapidly changing business environment for any enterprise, whether public, private or not-for-profit. Whereas disruptive innovations may have once taken a decade or more to transform an industry, research shows that the elapsed time frame has compressed to half that time. More importantly, it continues to shrink, leaving very little time for reaction. As a result, Directors report that effective oversight of change is a Top 10 risk and the inevitability of change and the opportunities change creates is a subject of discussion in the Boardroom. Jim DeLoachJim DeLoach is a Protiviti Managing Director and a recognized expert on Board governance. His many professional accolades include being selected four times by the NACD for induction into the Directorship 100, including in 2015. Jim also has been named a Top 25 Consultant of the Year by Consulting Magazine in 2011. Jim’s Board Perspectives Series are featured in NACD’s web site and frequently in NACD publications. He writes monthly blogs for both NACD Directorship and Corporate Compliance Insights. Jim has served for 10 years on the COSO Advisory Council contributing to the development of the Enterprise Risk Management – Integrated Framework, the COSO Project on Monitoring, and the recent update to the Internal Control – Integrated Framework. He has worked with, and delivered numerous presentations on risk management to hundreds of companies and groups in 30 countries.
David R. VetterDavid R. Vetter, Senior Vice President, General Counsel and Secretary, Tech Data Corporation, joined the Company in June 1993 as Vice President and General Counsel and was promoted to Corporate Vice President and General Counsel in April 2000. In March 2003, he was promoted to his current position of Senior Vice President, and effective July 2003, was appointed Corporate Secretary. Prior to joining the Company, he was employed by the law firm of Robbins, Gaynor & Bronstein, P.A. from 1984 to 1993, most recently as a partner. Mr. Vetter is a member of the Florida Bar Association and holds Bachelor of Arts Degrees in English and Economics from Bucknell University and a Juris Doctorate Degree from the University of Florida.
David WalkerDavid Walker, Moderator, is currently Chairman of the Board of Directors of Chico’s FAS, Inc., and also serves on the boards of directors of two other public companies: CoreLogic, Inc., and CommVault Systems, Inc. He previously served on the boards of directors of three other public companies: First Advantage Corporation from 2003 through 2009, Paradyne Corporation from 2003 through 2005, and Technology Research Corporation from 2004 through 2010, as well as private company Atlantic Blue Group during 2012. He earned an MBA degree from the University of Chicago and a BA degree from DePauw University. He serves on the NACD Florida Chapter Board of Directors, is a NACD Board Leadership Fellow, a certified public accountant and a certified fraud examiner.
